TripCircle Beta Tester Agreement
Effective for All Beta Participants
1. Purpose of the Beta
TripCircle is offering early access to its upcoming platform for the purpose of testing features, identifying issues, gathering feedback, and improving the product before public launch.
The Beta is experimental, may change at any time, and may include incomplete or unstable features.
2. Access Codes and Eligibility
- Your access code is unique to you.
- You may not share, transfer, or reuse someone else’s code.
- You may not allow anyone else to view, access, or use the Beta through your account or device.
- TripCircle may revoke your code at any time.
Your participation is voluntary and limited to the duration of the Beta program.
3. Confidentiality
You agree that you will at all times hold Confidential Information, as defined below, in strict confidence and not disclose Confidential Information to any third party except with the prior written permission of TripCircle. You may use Confidential Information only as permitted by TripCircle to test and evaluate the Beta and for no other purpose. "Confidential Information" means all non-public materials and information provided or made available to you by TripCircle including but not limited to the Beta platform, the features thereof, and any information regarding technology, processes, research, or strategic planning.
Furthermore, you agree not to:
- Share screenshots, recordings, videos, or screen captures.
- Share or stream your screen while using the Beta.
- Post or discuss Beta features on social media, forums, blogs, Reddit, or any public or semi-public platform.
- Show the interface, AI outputs, UX, UI, design elements, or internal tools to anyone not in the Beta.
- Share your account or allow others to observe the product through you.
If you are unsure whether something is confidential, treat it as confidential.
4. Restrictions on Use
You agree not to:
- Reverse engineer, copy, decompile, scrape, or attempt to extract data or source code.
- Attempt to reproduce TripCircle functionality outside of the approved platform.
- Use the Beta to develop or assist a competing service.
- Attempt to bypass authentication, security, or API limits.
- Use automation, scraping tools, bots, or probes against the platform.
TripCircle may suspend or terminate your access if these restrictions are violated.
5. Ownership of Content and Materials
5A. TripCircle's Ownership
All intellectual property in the Beta, including designs, UI, UX flows, content, text, branding, algorithms, AI logic, prompts, generated outputs, systems, workflows, and code, belongs exclusively to TripCircle.
You receive no ownership rights to the Beta or any part of it. Your access is a limited, revocable, non-transferable license for testing only.
5B. Your Content
If you create or upload content in the Beta such as trip titles, group notes, messages, inputs, or preferences, you retain ownership of your content but grant TripCircle a perpetual and worldwide license to store, use, modify, and analyze it for:
- Improving platform features
- Training and refining AI systems
- Debugging and quality assurance
- Product development
- Internal research
This license continues even if you leave the Beta.
5C. No Public Use of Beta Content
You may not publish or reuse any screenshots, displays, AI results, layouts, or TripCircle-generated outputs outside the platform.
6. Feedback Rights
TripCircle welcomes feedback. By participating in the Beta, you agree that:
- All feedback, suggestions, feature requests, bug reports, or commentary you provide may be used by TripCircle without restriction.
- TripCircle may implement, modify, adapt, commercialize, or ignore your feedback.
- You are not entitled to compensation, credit, or approval for any contributions.
TripCircle owns any improvements arising from Beta feedback.
7. Beta Disclaimer
The Beta is provided “as is” and may contain defects, errors, outages, data loss, security issues, or performance problems. TripCircle disclaims all warranties, express or implied, including without limitation any implied warranties of title, non-infringement of third-party rights, merchantability, or fitness for a particular purpose. No oral or written advice given by TripCircle, or its agents or employees shall give rise to warranty.
TripCircle does not guarantee uptime, stability, data retention, or feature availability.
8. No Public Representation or Claims
You may not:
- Present yourself as a TripCircle employee, agent, or spokesperson.
- Make public statements about unreleased TripCircle features.
- Announce release timelines or internal decisions.
- Claim authority to speak on TripCircle’s behalf.
9. Termination of Access
TripCircle may suspend or remove you from the Beta at any time, for any reason or no reason.
If removed, you must stop using the platform and delete any confidential materials.
You may leave the Beta by ceasing use and notifying TripCircle.
10. Limitation of Liability
TripCircle is not responsible for:
- Data loss.
- Errors or bugs.
- Outages or downtime.
- Third-party booking issues.
- Indirect or consequential damages.
Your participation is voluntary and at your own risk. TripCircle shall not be liable for any loss of use, lost profit, business interruption, or any indirect, incidental, or consequential damages arising out of the Beta or this Agreement, even if TripCircle has been advised of the possibility of such damages. In no event shall TripCircle’s aggregate cumulative liability for any claims arising out of or related to this Agreement exceed fifty (50) United States Dollars.
11. Governing Law
This Agreement is governed by the laws of Delaware, without regard to conflict-of-law provisions.
Your obligations under this Agreement shall survive the termination of this Agreement or your participation in the Beta. You hereby agree that a breach of this Agreement would cause TripCircle irreparable harm for which monetary damages would be inadequate, and TripCircle shall therefore be entitled to obtain equitable relief to prevent or terminate any breach, as well as such further relief as may be granted by a court of competent jurisdiction.
You may not assign this Agreement or transfer any rights or obligations hereunder without the prior written consent of TripCircle.
12. Mandatory Arbitration
If you are a user in the United States, any controversy or claim arising out of or relating to this Agreement, or the breach thereof, except for intellectual property rights or matters that you may bring in small claims court, shall be settled by arbitration administered by the American Arbitration Association in accordance with its Commercial Arbitration Rules, and judgment on the award rendered by the arbitrator(s) may be entered in any court having jurisdiction thereof. You agree that this arbitration agreement extends to the determination of the scope or applicability of the agreement to arbitrate, and that the interpretation and enforcement of this provision shall be governed by the Federal Arbitration Act.
13. Onboarding Acknowledgment
Before creating an account, you will see a required acknowledgment screen that states:
“I agree to the TripCircle Beta Tester Agreement. I understand that the Beta is confidential, experimental, and may change at any time.”
You must check “I Agree" before continuing to the signup page. If you decline, you cannot access the Beta.
